The Terms of Use may be amended or modified, or new conditions may be imposed, at any time. Any such changes or additions will be reflected by an update of this posting. USE RESTRICTIONS
We provide users with various content and services, including live scores, social media, auctions, fantasy games, and interactive and non-interactive features ('Services'), all of which may be updated, deleted or otherwise modified from time to time at our sole discretion. In addition, we also provide access to certain footage (video and audio), photos, text, images, statistics, logos and other intellectual property related to or otherwise associated with the WTA ('Tennis Content') which are either owned by or licensed to us.
You understand and agree that the Site, the Services and the Tennis Content are provided "AS IS" and that the Operator Parties (as defined below) assume no responsibility in connection with your use of the Site, the Services and the Tennis Content. We maintain this Site and the Services for your personal entertainment, information, education, and communication. You may only download or stream certain Tennis Content and Services available on the Site to a single personal computing or handheld device for your personal, noncommercial use, provided you maintain all copyright and other proprietary notices contained on the materials. You may not use any of the Tennis Content or Services for commercial purposes. The Services may not be viewed in areas open to the public or in commercial establishments where multiple people can view it at the same time. The WTA name and logos are the property of the WTA. All other trademarks, logos, and service marks (collectively, 'Trademarks') appearing on the Site, the Services and the Tennis Content are the property of their respective owners. Nothing contained on the Site or in the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademarks without the written permission of its respective owner. Your use of the Trademarks, or any other Tennis Content, except as provided in these Terms of Use, is strictly prohibited.
Images of people or places displayed on the Site or in the Services are either the property of, or used with permission by, the WTA. The use of these images by you, or anyone else authorized by you, is prohibited unless specifically permitted by these Terms of Use or otherwise specifically permitted elsewhere on the Site or under the express permission of the WTA. Any unauthorized use of the images may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
Blackout restrictions may apply to Services that allow you to watch video of live events. Blackout restrictions are designed to protect the television rights holders in the respective local telecast territories, as well as national telecasters. The Tennis Content is provided for your reference only, and you should not rely upon it for any purpose. We are not responsible for the Tennis Content's accuracy and reliability. We are not responsible to you or anyone else based on the content of the Tennis Content or Services. We do not warrant or represent that your use of the Tennis Content or Services will not infringe upon the rights of third parties not owned by or affiliated with us.
Without limiting any other provision in the Terms of Use, you may not use the Services or the Site to do the following or to assist others to do the following:
• Threaten, defame, stalk, abuse, or harass other persons or engage in illegal activities;
• Link to the Services or the Site from a site or transmit any material that is inappropriate, profane, vulgar, offensive, false, disparaging, defamatory, obscene, illegal, sexually explicit, racist, or that promotes violence, racial hatred, or terrorism, or that we deem, in our sole discretion, to be otherwise objectionable;
• Frame the Services or the Site, display the Services or the Site in connection with an unauthorized logo or mark, or do anything that could falsely suggest a relationship between WTA and any third party or potentially deprive us of revenue (including, without limitation, revenue from advertising, branding, or promotional activities);
• Violate any person's or entity's legal rights (including, without limitation, intellectual property, privacy, and publicity rights), transmit material that violates or circumvents such rights, or remove or alter intellectual property or other legal notices;
• Transmit files that contain viruses, spyware, adware, or other harmful code;
• Advertise or promote goods or services without our permission (including, without limitation, sending spam);
• Interfere with others using the Services or the Site or otherwise disrupt others use of the same;
• Transmit, collect or access personally identifiable information about other users without the consent of those users and WTA;
• Engage in unauthorized spidering, "scraping," or harvesting Tennis Content, contact or other personal information, or use any other unauthorized automated means to compile information;
• Impersonate any person or entity or otherwise misrepresent your affiliation or the origin of materials you transmit; or
• Defeat any access controls, access any portion of the Services or the Site that we have not authorized you to access (including password-protected areas), link to password-protected areas, attempt to access or use another user's account information, or allow anyone else to use your account or access credentials.
SOFTWARE AND DATABASE
The software, including any files, images incorporated in or generated by the software, and data accompanying the software, used in connection with the Site, the Services or the Tennis Content (collectively, 'Software') contains proprietary and confidential information that is protected by applicable intellectual property and other laws and is either owned by or licensed to us. Other than the limited right to use the Software for your personal, noncommercial use in connection with the Site or the Services, you have no rights to the Software. You agree not to redistribute, sell, auction, decompile, reverse engineer or disassemble the Software, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Site or the Services.
The databases made available on the Site or the Services, including any tennis-specific statistics, draws, orders of play, live scores, completed scores, rankings, leader boards, head-to-head player comparisons, news feeds, and any and all archived data derived from tennis-specific statistics, draws, orders of play, live scores, completed scores, rankings, leader boards, head-to-head player comparisons, and news feeds (collectively, 'Database') contain information that requires a high degree of skill and judgment to produce and is protected by applicable intellectual property/copyright and other laws and is either owned by or licensed to us. Other than the limited right to use the Database for your personal, noncommercial use in connection with the Site or the Services, you have no rights to the Database. You agree not to stream, redistribute, post, sell, auction, decompile, reverse engineer or disassemble the Database, or to use modified versions of the Database.
You agree not to access the Site or the Services by any means other than through the interface that we provide for use in accessing the Site and the Services. The Software and Database may also be subject to United States Export Control. The United States Export Control laws prohibit the export of certain technical data and software to certain territories. The Software and Database may not be downloaded or exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Syria, Sudan, or any other country to which the United States has embargoed goods; or (ii) anyone on the United States Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. We do not authorize the downloading or exportation of any Software or Database or other technical data from this Site to any jurisdiction prohibited by the United States Export Laws.
REGISTRATION INFORMATION
In order to use some of the Services, you may be required to register with the Operator Parties by providing personal information consisting of your name, age and email address, which will be collected pursuant to the Privacy Policy of this Site. In consideration of your use of the Services and/or participation in any Promotions (as defined below) that require registration, you agree to provide true, accurate, current and complete information about yourself as requested in connection with the provision of and/or registration for any of the Services and/or Promotions, subject to all applicable laws. Some of the Services and/or Promotions may not be available to children under age eighteen without the permission of a parent or guardian. If you provide any information that is untrue, inaccurate, incomplete or not current, or we have reasonable grounds to suspect as much, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.
You will receive a password upon completing the registration process for use of the specific Services that require registration. You are responsible for maintaining the confidentiality of the password and are fully responsible for all activities that occur under your password. You acknowledge and agree that the Operator Parties and their vendors have no responsibility or liability for any loss or damage arising from your failure to comply with this provision.
MESSAGE FEATURES
The Services may include opportunities for you to send messages or postings in connection with various features including electronic mail, fan-to-fan chats, chats with special guests, bulletin boards and forums to communicate with other users ('Message Features').
You must use Message Features in a responsible manner. In addition to the Use Restrictions, you must not transmit any message ('Message') in connection with any Message Feature that: (i) restricts or inhibits any other user from using and enjoying the Site; (ii) is unlawful, threatening, abusive, bigoted, hateful, libelous, defamatory, obscene, vulgar, offensive, pornographic, profane, sexually explicit or indecent; (iii) constitutes, advocates or encourages conduct that would constitute or give rise to a criminal offense, civil liability or other violation of any local, state, national or international law; (iv) violates, plagiarizes or infringes the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity or any other proprietary right; (v) contains a virus or other harmful component; (vi) contains any information, software or other material of a commercial nature; (vii) contains advertising, promotions or commercial solicitations of any kind; (viii) constitutes or contains false or misleading indications of origin or statements of fact; or (ix) contains material irrelevant to the subject matter of the Message Feature.
We shall have the right, but not the obligation, in our sole discretion to review, edit or delete any Message transmitted in any Message Feature that: (i) violates any term of these Terms of Use; or (ii) is otherwise illegal, offensive or inappropriate. Depending on the nature of the violation, we shall have the sole discretion to terminate your access to the Site. Please be advised that we will fully cooperate with any law enforcement authorities or court order requesting or directing it to disclose personal information of anyone who submits a Message that violates the foregoing terms in accordance with the Privacy Policy of the Site.
Although we may from time to time monitor or review Messages submitted in discussions, chats, postings, transmissions, bulletin boards, and the like on the Site, we are under no obligation to do so and assume no responsibility or liability arising from the content of any Message nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained therein. Display of any Message in any Message Feature does not constitute our approval or endorsement of such Message.
Messages submitted to the Site or through your use of the Services by electronic mail or otherwise, including any data, questions, comments, suggestions or the like are, and will be treated as, nonconfidential and nonproprietary. By submitting a Message, you acknowledge that any information disclosed by you therein (i) may be used by any third party; (ii) is not confidential and may be read or intercepted by others; (iii) creates no confidential, fiduciary, contractually implied or other relationship between you and us other than pursuant to these Terms of Use; and (iv) is subject to the grant of rights to us described below.
SUBMISSIONS AND USER GENERATED CONTENT
The Site offers Message Features that invite users to submit user-generated content for display on the Site and other websites owned or operated by or affiliated with WTA. If you choose to submit to the Site any Message or any creative ideas, concepts, know-how, techniques, suggestions or materials (collectively, 'Submissions'), you represent, warrant, and agree that you have the unhindered right to do so, that such Submission does not infringe the copyright, trademark, patent, trade secret, right of privacy or publicity or other intellectual property or proprietary rights of any other person or company, and that such Submission does not injure any other person or company. By transmitting any Message or Submission, you are automatically granting us a perpetual, royalty-free, non-exclusive, unrestricted, worldwide and irrevocable right and license to use, reproduce, modify, publish, translate, prepare derivative works based upon, distribute, perform or display such Submissions, in whole or in part, in any form, media or technology known or hereafter developed for any purpose, including, but not limited to, advertising and promotional purposes. This means that anything submitted by you to the Site and/or through the Services will be owned by and may be used by us for any purpose, now or in the future, without any payment to, or further authorization by, you. All Submissions, whether solicited or unsolicited, shall become and remain our property. We also have the right, but not the obligation, to use your name in connection with the broadcast, print, online or other use or publication of your Submission.
The Site and the Services also contain various challenges, contests, sweepstakes, raffles, surveys, and other similar promotions (collectively, 'Promotions') that invite users to submit user-generated content for display on the Site or the Services and other websites owned or operated by or affiliated with WTA. If you choose to submit to the Site and/or the Services an entry into any Promotion (collectively, 'Entries' or 'Entry'), you represent, warrant, and agree that such Entry complies with the official rules associated with such Promotion. On-line, cable, wireless or other sites, services or browsers created by, licensed by or substantially associated with any entity that regularly promotes any product, brand or service ('Commercial Site') may not link to the Site without our express prior written consent, even if the page/area where the link originates does not promote a product, brand or service. On-line, cable, wireless or other sites, services or browsers other than Commercial Sites may create a link to the homepage of the Site through a plain-text link, without our prior written consent. All links to the Site must be to its homepage. 'Deep Linking' to internal pages of the Site is expressly prohibited. You may not use any trademarks or service marks as links to the Site from other websites, or as machine readable search terms such as metatags.

EMBEDDED CONTENT
Certain Services may provide you with the ability to embed Tennis Content into other websites, such as features of the Video on Demand which enable you to embed video into your blog, fan site or other webpage. All use of embedded Tennis Content must be for non-commercial purposes only, and may be disabled by us at any time. Prohibited commercial uses include any of the following actions taken without our express permission: (i) selling access to embedded Tennis Content on another website; (ii) using embedded Tennis Content for the primary purpose of gaining advertising or subscription revenue; (iii) creating a websites that does nothing more than aggregate a collection of embedded Tennis Content and intentionally trying to generate ad revenue from them; (iv) using embedded Tennis Content that we find, in our sole discretion, to use our resources with the effect of competing with or displacing the market for Tennis Content. WTATennis.com VENDORS AND ADVERTISERS
Your correspondence or business dealings with, or participation in promotions of, advertisers and vendors found on or through the Services or the Site are solely between you and such advertiser and/or vendor. You agree that we shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or vendors on the Site or in connection with the Services. All of your business dealings with vendors and advertisers appearing on the Site or in connection with the Services shall be at your sole risk.
By placing an order for products ('Merchandise') through the independent merchandise vendor provided on the Site, you acknowledge that the vendor is exclusively responsible for the fulfillment and shipment of all Merchandise ordered, and you agree that any and all orders placed with the vendor are subject to the terms and conditions that may be posted on the vendor's website. INDEMNIFICATION
Notwithstanding any other provision of the Terms of Use or any act or failure to act by the Operator Parties, you hereby agree to indemnify and hold the Operator Parties harmless from and against all claims, liabilities, damages and expenses (including attorneys' fees and court costs) arising out of or relating to: (i) your use of the Site, including, but not limited to use of any Message Feature; (ii) your participation in any activities arising from the Site; (iii) any breach or alleged breach of the Terms of Use; and (iv) your violation of any rights of another.

We will remove any content that infringes upon the copyright of any person under the laws of the United States upon receipt of a notice that complies with the requirements of 17 U.S.C. § 512(c)(3), and will terminate the Site privileges of those who repeatedly infringe on the copyright of others. United States law provides significant penalties for false claims.
CHOICE OF LAW
The laws and regulations in different countries impose different (and even conflicting) requirements on the Internet and data protection. The Terms of Use and any disputes relating to the Terms of Use or the Site will be governed by the laws of the State of New York, United States of America, without giving effect to any principles of conflicts of laws. Any claim relating to the Terms of Use or the Site shall be exclusively prosecuted in a federal or state court of competent jurisdiction located within the city where our headquarters are located at the time any cause of action is initiated, and you hereby consent to the jurisdiction of such court solely for such purposes and you further waive any argument that any such court does not have jurisdiction over such dispute or that venue in any such court is not appropriate or convenient. You further agree to accept service of process by certified mail, return receipt requested at the address designated by you. We will be entitled to recover our court costs and reasonable attorneys' fees and expenses incurred in successfully proving any breach of any term of these Terms of Use.
MODIFICATION/TERMINATION
We may change, suspend or discontinue any aspect of the Site at any time, including the availability of any Service or Tennis Content. We may also impose limits on certain Services or restrict or terminate your access to parts of or the entire Site or the Services without notice or liability at any time in our exclusive discretion, without prejudice to any legal or equitable remedies available to us, for any reason or purpose, including, but not limited to, conduct that we believe violates these Terms of Use or other policies or guidelines posted on the Site or conduct which we believe is harmful to other customers, to our business, or to other information providers. Upon any termination under these Terms of Use, you will immediately discontinue your use and access of the Site and destroy all materials obtained from it.
MISCELLANEOUS
The Terms of Use constitute the entire agreement between you and us, and supersede all prior and contemporaneous written or oral agreements, proposals or communications with respect to the subject matter herein between you and us. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or the Software. The section headings in the Terms of Use are for convenience only and must not be construed as legal advice to you. If any provision of the Terms of Use is held by a court of competent jurisdiction to be unlawful, void, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
We reserve the right to limit the availability of this Site and/or the provision of any Service to any person, geographic area or jurisdiction we so desire, at any time, in our sole discretion.
